These Terms and Conditions ("Terms") govern access to and use of the Facturium platform ("Facturium", "the Service"), operated by Facturium ("we", "us", "our").
By accessing or using the Service, you ("Customer", "you") agree to be bound by these Terms, as well as our Disclaimer, Privacy Policy, and Data Processing Agreement ("DPA").
2. Description of the Service
Facturium is a software-as-a-service (SaaS) platform that provides tools to generate, manage, store, and transmit invoicing and administrative information based on data provided by the Customer.
Facturium provides access to software functionalities only and does not deliver legal, tax, accounting, or professional advice.
3. User Obligations
The Customer agrees to:
- Provide accurate, complete, and lawful information
- Use the Service in compliance with applicable laws and regulations
- Configure the Service according to their specific legal and fiscal situation
- Review and validate any documents generated before submission or use
The Customer is solely responsible for the data entered into the platform and for any consequences arising from its use.
4. Disclaimer Reference
The Service is subject to the Disclaimer available at /legal/disclaimer, which forms an integral part of these Terms.
Facturium does not guarantee that the use of the Service will result in compliance with any specific legal, tax, or regulatory obligation.
5. Plans, Fees, and Billing
Access to certain features may require a paid subscription.
- Fees, billing cycles, and payment terms are described on the pricing page
- Fees are non-refundable except where required by applicable law
- Facturium may modify pricing or plans with prior notice
Failure to pay applicable fees may result in suspension or termination of access.
6. Availability and Changes to the Service
Facturium aims to provide a reliable service but does not guarantee uninterrupted availability.
We may:
- Perform maintenance
- Modify or discontinue features
- Update the Service to reflect legal, technical, or operational changes
Such changes may occur without prior notice where reasonably necessary.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Facturium shall not be liable for direct, indirect, incidental, consequential, or special damages
- Facturium shall not be liable for loss of profits, revenue, data, or business opportunities
- Facturium is not responsible for penalties, sanctions, or actions taken by tax authorities or third parties
Facturium's total liability under these Terms shall not exceed the fees paid by the Customer to Facturium during the twelve (12) months preceding the event giving rise to the claim.
8. Suspension and Termination
Facturium may suspend or terminate access to the Service if:
- The Customer breaches these Terms
- Required by law or regulatory authority
- Necessary to protect the security or integrity of the Service
The Customer may terminate the Service at any time in accordance with the applicable plan.
9. Data Protection
Personal data is processed in accordance with applicable data protection laws, including the GDPR.
The Data Processing Agreement available at /legal/data-processing-agreement governs the processing of personal data on behalf of the Customer and forms part of these Terms.
10. Intellectual Property
All intellectual property rights in the Service, including software, designs, trademarks, and documentation, remain the exclusive property of Facturium.
No rights are granted to the Customer except as expressly set out in these Terms.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Spain.
The courts of Spain shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
12. Language Precedence
These Terms are drafted in English.
In the event of any discrepancy between the English version and any translated version, the English version shall prevail.
13. Changes to These Terms
Facturium may update these Terms from time to time.
Material changes will be communicated through reasonable means.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
